1. Agreement to These Terms

These Terms of Use govern your access to and use of Badgr.Pro, including its website, service-search tools, provider profiles, content, features, and related services.

Badgr.Pro is owned and operated by Mad Badger Marketing Incorporated. In these Terms, “Badgr.Pro,” “we,” “us,” and “our” refer to Mad Badger Marketing Incorporated and the Badgr.Pro website and platform. “You” and “your” refer to anyone who accesses or uses Badgr.Pro.

By accessing or using Badgr.Pro, you agree to these Terms of Use and acknowledge our Privacy Policy. If you do not agree, do not use Badgr.Pro.

2. What Badgr.Pro Does

Badgr.Pro helps consumers find a selected local company for a specific service and area.

Users may:

Choose a service
Enter a U.S. ZIP code or Canadian postal code
Determine whether Badgr.Pro has selected a local company for that service and area
Review information about the selected company
Contact the company directly
Recommend a local company for consideration

Badgr.Pro is an information, discovery, advertising, and referral platform. Badgr.Pro does not perform the services advertised by independent providers and is not a contractor, employer, staffing agency, emergency-dispatch service, or representative of the consumer or the provider.

3. Eligibility

You must be at least 18 years old and legally capable of entering an agreement to use Badgr.Pro.

If you use Badgr.Pro on behalf of a company or organization, you represent that you have authority to act on its behalf and bind it to these Terms.

Badgr.Pro is not directed to children under 16.

4. Provider Selection

Badgr.Pro may evaluate local companies using factors applicable to the service, provider type, territory, and jurisdiction.

These factors may include:

Relevant experience
Customer reputation
Licensing or certification information
Insurance information
Service-area coverage
Communication
Workmanship
Business practices
Responsiveness to customer concerns
Warranties or guarantees
Information supplied by the provider
Publicly available information
Other factors Badgr.Pro considers relevant

Selection standards may vary by industry, service, location, and available information.

A company’s selection reflects Badgr.Pro’s evaluation at a particular time. It does not constitute an unconditional certification, warranty, or guarantee of the company’s qualifications, availability, conduct, pricing, workmanship, future performance, or suitability for every project.

Badgr.Pro may review, select, decline, suspend, replace, or remove a provider at its discretion, subject to applicable agreements and law.

5. Commercial Relationships With Providers

Companies featured on Badgr.Pro may pay fees to Mad Badger Marketing Incorporated for platform participation, marketing services, website services, advertising, territory placement, or related services.

Payment alone does not guarantee initial selection, continued selection, a particular placement, customer contacts, search visibility, traffic, revenue, or continued participation.

Badgr.Pro evaluates providers according to the standards and information it considers applicable. Consumers should understand that a commercial relationship may exist between Badgr.Pro and a featured provider.

6. One Selected Provider

Badgr.Pro generally seeks to feature one selected company for a particular service and defined area when a suitable provider is available.

“One selected provider” does not mean:

The company is the only business performing that service in the area
Badgr.Pro evaluated every company in the area
The company is guaranteed to be the best choice for every consumer
The company will always be available
The provider relationship or territory will remain unchanged
The company is qualified for every variation of the advertised service
Badgr.Pro guarantees the provider’s work

Service areas, provider availability, selection status, and platform participation may change.

7. Independent Providers

Companies displayed on Badgr.Pro are independent businesses. They are not employees, agents, partners, joint venturers, franchisees, or legal representatives of Badgr.Pro or Mad Badger Marketing Incorporated.

Badgr.Pro does not direct or control a provider’s:

Employees or subcontractors
Scheduling
Estimates
Pricing
Contracts
Payment terms
Methods of work
Materials
Safety procedures
Licensing
Insurance
Warranties
Customer service
Performance

A provider is solely responsible for its business operations and the services it offers.

8. Your Relationship With a Provider

When you contact, hire, or purchase services from a provider, any agreement is directly between you and that provider.

Badgr.Pro is not a party to that agreement and is not responsible for:

Estimates or proposals
Service contracts
Deposits or payments
Financing
Scheduling
Project scope
Permits
Materials
Workmanship
Property damage
Personal injury
Delays
Cancellations
Refunds
Warranties
Disputes
Any other aspect of the provider’s services

You are responsible for reviewing and understanding all estimates, contracts, warranties, payment terms, and other documents before hiring a provider.

Any dispute arising from services performed by a provider must be addressed directly with that provider, except where applicable law provides otherwise.

9. Consumer Verification Responsibilities

Badgr.Pro may review certain provider information, but consumers remain responsible for determining whether a provider is appropriate for their specific needs.

Before hiring a provider, you should independently verify matters such as:

Identity and business name
Current licensing
Certifications
Insurance
Bonding
Permits
Experience
References
Service availability
Pricing
Contract terms
Warranties
Legal qualifications
Suitability for the particular project

Licensing, insurance, certification, and permitting requirements vary by service and jurisdiction. Information may change after Badgr.Pro evaluates or publishes a provider profile.

Do not rely solely on the presence of a provider on Badgr.Pro when making a hiring decision.

10. No Guarantee of Availability or Results

Badgr.Pro does not guarantee that:

A provider will be available in your area
A provider will respond to a call, text, email, or inquiry
A provider will accept your project
Services will be available at a particular time
A provider will meet your budget or schedule
A provider will offer the exact service you need
Information will always be complete or current
Your project will achieve a particular result

Provider availability may depend on location, workload, hours, staffing, licensing, weather, emergencies, service scope, and other factors outside Badgr.Pro’s control.

11. No Emergency Services

Badgr.Pro is not an emergency-dispatch service and should not be used as a substitute for emergency assistance.

If you are experiencing an immediate threat to life, health, safety, property, or the environment, contact the appropriate emergency service, public authority, utility, or other qualified emergency resource.

In the United States or Canada, call 911 for an emergency when appropriate.

12. Provider Profiles and Website Information

Badgr.Pro may publish information obtained from providers, public records, licensing sources, review platforms, company websites, social media, business directories, and other sources.

Although we seek to provide useful information, we do not warrant that provider profiles or other website content are always:

Complete
Accurate
Current
Error-free
Applicable to your project
Available in your area

Logos, trade names, photos, service descriptions, customer feedback, licensing information, and other materials may belong to or originate from third parties.

Badgr.Pro may correct, update, reorganize, remove, or decline to publish information at any time.

13. Reviews, Ratings, and Third-Party Content

Provider pages may display or link to reviews, ratings, testimonials, or other content originating from Google, social networks, review platforms, customers, providers, or other third parties.

Unless clearly stated otherwise:

Badgr.Pro did not write the third-party review
Badgr.Pro does not independently verify every reviewer or statement
Reviews represent the reviewer’s opinion
Ratings may change
Reviews may not represent every customer’s experience
Badgr.Pro does not guarantee similar results

Third-party platforms control their own review policies, calculations, moderation, and publication practices.

Badgr.Pro may also publish case studies or performance information concerning marketing results. These materials describe particular circumstances and do not guarantee that another provider or consumer will receive the same outcome.

14. Direct Contact and Communications

When you call, text, email, or visit the website of a provider displayed on Badgr.Pro, you are generally communicating directly with that independent company.

The provider’s privacy policy, communication practices, and contractual terms may apply to information you provide directly to it.

Badgr.Pro does not use active provider searches to send your personal information to multiple competing companies.

Badgr.Pro may use telephone or communication measurement technology where disclosed. Additional notices will be provided if required by law.

15. Provider Recommendations

Badgr.Pro may allow users to recommend local companies for consideration.

By submitting a recommendation, you represent that:

The information is accurate to the best of your knowledge
You are submitting it honestly
Your submission is not fraudulent, defamatory, threatening, or unlawful
You are not impersonating another person
You have the right to submit any included content
You are not using the submission for harassment or manipulation

A recommendation does not guarantee that Badgr.Pro will contact, evaluate, select, or publish the company.

Badgr.Pro may investigate, use, decline, remove, or retain a recommendation in accordance with the Privacy Policy and applicable law.

16. Acceptable Use

You may use Badgr.Pro only for lawful purposes.

You may not:

Violate any applicable law or regulation
Submit false, fraudulent, misleading, or defamatory information
Impersonate another person or business
Interfere with the operation or security of Badgr.Pro
Attempt to gain unauthorized access to any system or information
Introduce malware, malicious code, or harmful technology
Scrape, harvest, copy, or extract website data through automated means without written permission
Use bots or automated tools to overload or manipulate the platform
Reverse engineer or attempt to discover nonpublic source code
Circumvent access controls or security measures
Use Badgr.Pro to harass providers, consumers, employees, or others
Submit spam or unsolicited promotions
Manipulate reviews, recommendations, rankings, searches, or provider selection
Use website content to create or improve a competing provider directory, referral platform, database, or service
Misrepresent an affiliation with Badgr.Pro
Use Badgr.Pro’s names, logos, icons, map pins, mascots, profile designs, or content without permission

We may restrict or terminate access when we reasonably believe these Terms have been violated.

17. Intellectual Property

Badgr.Pro and its content are owned by Mad Badger Marketing Incorporated or used with permission.

Protected materials may include:

Names and branding
Logos
Map-pin designs
Mascots and characters
Text
Graphics
Illustrations
Provider-page designs
Directory organization
Taxonomy
Software
Databases
Search and routing systems
Page layouts
Photographs
Videos
Marketing materials
Selection processes
Other original content

These materials are protected by copyright, trademark, trade-dress, database, unfair-competition, and other applicable laws.

Subject to these Terms, Badgr.Pro grants you a limited, revocable, nonexclusive, nontransferable license to access and use the website for personal, lawful, noncommercial purposes.

No ownership rights are transferred to you.

18. User Submissions

If you submit text, feedback, suggestions, photographs, documents, or other content to Badgr.Pro, you retain any ownership rights you legally possess.

You grant Mad Badger Marketing Incorporated a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and use the submission for operating, evaluating, improving, protecting, and promoting Badgr.Pro.

This license applies only to content you choose to submit and is subject to our Privacy Policy.

You represent that you have the rights necessary to provide the submission and grant this license.

We are not required to publish, use, or retain any submission.

19. Copyright Complaints

If you believe content on Badgr.Pro infringes your copyright, send a written notice containing sufficient information to identify:

The copyrighted work
The allegedly infringing material
The location of the material on Badgr.Pro
Your contact information
A statement that you have a good-faith belief the use is unauthorized
A statement that the notice is accurate and that you are authorized to act
Your physical or electronic signature

20. Third-Party Websites and Services

Badgr.Pro may contain links to provider websites, social networks, review platforms, payment services, maps, advertising services, and other third-party resources.

Links are provided for convenience and do not mean Badgr.Pro controls or accepts responsibility for the third party.

Your use of a third-party website or service is governed by that third party’s terms, privacy policy, and practices.

Badgr.Pro is not responsible for third-party content, security, availability, products, services, representations, or conduct.

21. Privacy

Our collection and use of information are described in the Badgr.Pro Privacy Policy.

By using Badgr.Pro, you acknowledge that internet services involve the processing and transmission of information and that no online system is completely secure.

22. Website Availability and Changes

We may modify, suspend, restrict, discontinue, or replace any portion of Badgr.Pro at any time.

We do not guarantee uninterrupted or error-free access. Website operation may be affected by maintenance, hosting failures, software errors, cyberattacks, third-party services, network conditions, or circumstances outside our control.

We are not obligated to maintain a particular service, provider, feature, territory, page, or website structure.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Badgr.Pro and all website content, search tools, profiles, links, and features are provided on an “as is” and “as available” basis.

Mad Badger Marketing Incorporated disclaims all express and implied warranties, including warranties of:

Accuracy
Completeness
Availability
Reliability
Merchantability
Fitness for a particular purpose
Title
Noninfringement
Security
Provider quality
Service results

We do not warrant that Badgr.Pro will be uninterrupted, secure, error-free, or free from harmful components.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

24. Limitation of Liability

To the fullest extent permitted by law, Mad Badger Marketing Incorporated and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

Your use or inability to use Badgr.Pro
A provider’s acts or omissions
Services performed or not performed
A dispute between you and a provider
Property damage or personal injury caused by a provider
Website errors or interruptions
Reliance on website information
Unauthorized access to information
Third-party websites or services
Lost profits, revenue, data, goodwill, or opportunities

To the fullest extent permitted by law, the total aggregate liability of Mad Badger Marketing Incorporated for claims arising from your consumer use of Badgr.Pro will not exceed the greater of:

The amount you paid directly to Badgr.Pro for consumer access during the 12 months preceding the event giving rise to the claim
One hundred U.S. dollars

These limitations do not apply where prohibited by law or to liability that cannot legally be limited or excluded.

25. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Mad Badger Marketing Incorporated and its directors, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from:

Your unlawful use of Badgr.Pro
Your material violation of these Terms
Information or content you submit
Your infringement of another person’s rights
Fraudulent, abusive, or malicious conduct

This obligation does not apply to the extent a claim results from conduct for which Mad Badger Marketing Incorporated may not lawfully disclaim responsibility.

26. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any legal proceeding concerning these Terms or Badgr.Pro must be brought in a state or federal court with jurisdiction in the Texas county where Mad Badger Marketing Incorporated maintains its principal place of business, unless applicable consumer law requires otherwise.

You and Mad Badger Marketing Incorporated consent to the personal jurisdiction of those courts.

If you reside outside Texas, mandatory consumer-protection rights available in your jurisdiction may continue to apply.

27. Changes to These Terms

We may update these Terms to reflect changes in Badgr.Pro, our business practices, or legal requirements.

The effective date at the top will identify the latest version. Material changes may receive additional notice where appropriate or required.

Your continued use of Badgr.Pro after revised Terms become effective constitutes acceptance of the revised Terms.

28. Termination

We may restrict, suspend, or terminate your access to Badgr.Pro if we reasonably believe you:

Violated these Terms
Used the website unlawfully
Threatened the security or operation of the platform
Created risk or potential liability
Engaged in fraudulent, abusive, or harmful conduct

Provisions that by their nature should survive termination will remain in effect, including intellectual-property provisions, disclaimers, liability limitations, indemnification, and governing-law provisions.

29. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted or modified to reflect its intended purpose.

The remaining provisions will continue in effect.

30. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

A waiver is effective only if it is in writing and authorized by Mad Badger Marketing Incorporated.

31. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent.

Mad Badger Marketing Incorporated may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, corporate restructuring, or transfer of Badgr.Pro.

32. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement concerning your public and consumer use of Badgr.Pro.

Providers, applicants, advertisers, contractors, and business customers may be subject to separate agreements, including Badgr.Pro Provider Terms and Mad Badger Marketing Incorporated Terms and service agreements.

If a separate written agreement applies, that agreement controls the matters it specifically governs.
