Provider Terms
Effective Date: August 1, 2026
1. Agreement to These Provider Terms
These Badgr.Pro Provider Terms govern applications for, participation in, and placement on the Badgr.Pro platform.
Badgr.Pro is owned and operated by Mad Badger Marketing Incorporated. In these Provider Terms, “Badgr.Pro,” “we,” “us,” and “our” refer to Mad Badger Marketing Incorporated and the Badgr.Pro website and platform. “Provider,” “you,” and “your” refer to the individual or business applying for or participating in Badgr.Pro.
By applying, accepting placement, purchasing a qualifying service, completing onboarding, paying an invoice, or participating as a provider, you agree to these Provider Terms.
If you do not agree, do not apply for or participate in Badgr.Pro.
2. Relationship to Other Agreements
These Provider Terms supplement any applicable proposal, order form, service agreement, subscription agreement, payment authorization, or general terms between you and Mad Badger Marketing Incorporated.
The following order applies in the event of a conflict:
- A written agreement signed by both parties
- An accepted proposal or order form
- These Badgr.Pro Provider Terms
- Mad Badger Marketing Incorporated’s general terms and conditions
- The public Badgr.Pro Terms of Use
A signed agreement or accepted order form controls pricing, payment schedules, included services, and any specifically negotiated terms.
These Provider Terms control participation, selection, placement, territories, provider profiles, removal, suspension, and replacement on Badgr.Pro unless a signed written agreement expressly provides otherwise.
3. Description of Badgr.Pro
Badgr.Pro is an online discovery, advertising, and referral platform that helps consumers find a selected local company for a particular service and area.
Consumers may:
- Choose a service
- Enter a U.S. ZIP code or Canadian postal code
- Search for a selected provider in their area
- Review a provider profile
- Call, text, email, or visit the provider’s website directly
Badgr.Pro generally seeks to feature one selected provider for a particular service and defined territory when an acceptable provider is available.
Badgr.Pro is not obligated to maintain a provider for every service or territory.
4. Applications Do Not Guarantee Selection
Submitting an application, recommendation, payment, form, document, or other information does not guarantee:
- Approval
- Selection
- Placement
- Exclusivity
- A particular territory
- Continued participation
- Publication of a provider profile
- Any particular level of visibility
- Any consumer contacts or revenue
Badgr.Pro may accept, decline, defer, or discontinue an application at its discretion.
Badgr.Pro is not required to explain or disclose its evaluation methods, internal scoring, business strategy, selection decisions, or reasons for declining an applicant.
5. Provider Evaluation
Badgr.Pro may evaluate providers using factors it considers relevant to the service, provider type, territory, and jurisdiction.
Factors may include:
- Relevant experience
- Customer reputation
- Licensing
- Certifications
- Insurance
- Bonding
- Service-area coverage
- Communication
- Responsiveness
- Workmanship
- Business practices
- Complaint history
- Customer satisfaction
- Warranties or guarantees
- Online presence
- Capacity to serve the territory
- Cooperation with Badgr.Pro
- Payment history
- Compliance with applicable agreements
- Other factors Badgr.Pro considers appropriate
Evaluation standards may vary by industry, service, jurisdiction, and available information.
Selection reflects an evaluation at a particular time. It does not create a permanent certification, endorsement, franchise, license, property right, or entitlement to future placement.
6. No Permanent Right to Provider Status
Provider status is conditional, limited, revocable, and dependent on continued approval by Badgr.Pro.
A provider does not acquire any permanent, vested, transferable, or ownership interest in:
- A service category
- A territory
- A city
- A ZIP or postal code
- A provider position
- Search routing
- A provider profile
- Website traffic
- Calls or messages
- Platform placement
- Exclusivity
- Badgr.Pro branding or intellectual property
Badgr.Pro may review a provider’s status at any time.
Past selection, payment, performance, tenure, or placement does not guarantee continued participation.
7. Right to Suspend, Remove, or Replace Providers
To the fullest extent permitted by law and subject to any express written agreement, Badgr.Pro may suspend, restrict, remove, or replace a provider at any time.
Reasons may include:
- Payment default
- Failed or reversed payment
- Expired payment authorization
- Cancellation or termination of services
- Expiration of any relationship between you and Mad Badger Marketing Incorporated
- Failure to maintain licensing, certification, insurance, or bonding
- Inaccurate or misleading information
- Customer complaints
- Unresponsive communication
- Poor workmanship
- Failure to honor warranties or guarantees
- Abusive, discriminatory, dishonest, or unlawful conduct
- Damage to the reputation of Badgr.Pro
- Failure to serve the assigned territory
- Failure to respond to consumers
- Review manipulation
- Violation of these Provider Terms
- Violation of another agreement with Mad Badger Marketing Incorporated
- A change in platform strategy, service taxonomy, territory design, or business needs
- Any other reason Badgr.Pro determines warrants suspension, removal, or replacement
Badgr.Pro may act with or without advance notice when permitted by law and the applicable written agreements.
Removal from Badgr.Pro does not require Badgr.Pro to remove the provider from third-party search engines, caches, archives, or services that Badgr.Pro does not control.
8. Payment Default
Timely payment is a material condition of provider participation.
A provider is in payment default when any required payment is:
- Not received when due
- Declined
- Reversed
- Charged back
- Disputed without valid basis
- Made using an expired or unauthorized payment method
- Otherwise not successfully collected
Upon payment default, Badgr.Pro may immediately:
- Suspend the provider’s profile
- Remove the provider from search results
- Disable telephone, text, email, or website links
- Stop routing consumers to the provider
- Suspend marketing or platform services
- Remove exclusivity
- Make the service and territory available to another company
- Select and publish a replacement provider
- Exercise any other rights available under an applicable agreement or law
A payment default may result in the permanent loss of the provider’s service and territory.
Paying an overdue balance does not guarantee reinstatement. If another provider has been selected, or if Badgr.Pro has otherwise reassigned the position, Badgr.Pro is not required to remove the replacement or restore the former provider.
Removal or replacement does not eliminate amounts already owed.
9. Effect of Cancellation or Termination
Provider placement depends on an active working relationship with Mad Badger Marketing Incorporated.
When a provider cancels, terminates, declines to renew, or otherwise ends that relationship, Badgr.Pro may:
- Remove the provider’s profile
- Stop routing consumers to the provider
- Disable or replace tracking numbers
- Remove links and contact methods
- Remove exclusivity
- Reassign the service or territory
- Publish a replacement provider
- Redirect or retire provider-specific platform pages
- Remove Badgr.Pro branding from provider materials
- Take other reasonable steps to end platform participation
Unless a written agreement expressly states otherwise, the provider has no continuing right to placement after termination becomes effective.
Badgr.Pro may begin evaluating or onboarding a replacement before the former provider’s relationship ends so that consumers can continue receiving an available result after termination.
Obligations concerning payment, intellectual property, confidentiality, indemnification, limitations of liability, and other provisions intended to survive will remain effective after termination.
10. Territory and Service Definitions
Badgr.Pro determines how services and territories are defined, organized, named, displayed, subdivided, combined, and routed.
A territory may be based on:
- Cities
- Counties
- ZIP codes
- Postal-code regions
- Metropolitan areas
- Population
- Travel distance
- Service boundaries
- Consumer search behavior
- Other geographic or operational considerations
Badgr.Pro may correct routing errors, modify territory boundaries, reorganize service categories, or change the website architecture.
A provider’s territory applies only to the specific services and geographic areas confirmed in writing by Badgr.Pro.
Provider status does not grant rights to:
- Similar or related services
- Other categories
- Adjacent territories
- Newly created services
- Future pages
- National or regional searches
- Organic search results
- Advertising placements outside the agreed scope
11. Conditional Exclusivity
When exclusivity is included, it means Badgr.Pro generally will not intentionally designate another active provider for the same specific service and territory during the provider’s active, paid, compliant participation.
Exclusivity is conditional on:
- Timely payment
- Continued qualification
- Compliance with these Provider Terms
- Compliance with applicable service agreements
- Continued service capacity
- Reasonable responsiveness
- Maintenance of required licenses and insurance
- Acceptable customer care
- Continued approval by Badgr.Pro
Exclusivity does not prevent Badgr.Pro from:
- Displaying providers for different services
- Displaying providers in neighboring territories
- Showing related service categories
- Displaying national or informational content
- Testing or correcting routing
- Preparing a replacement before termination
- Replacing a provider after default, suspension, cancellation, or termination
- Modifying service or territory definitions
- Responding to legal or operational requirements
Exclusivity is a contractual platform benefit, not ownership of a market, territory, URL, keyword, city, or customer base.
12. Provider Qualifications
You represent and warrant that you:
- Are legally authorized to operate your business
- Hold all licenses, permits, registrations, and certifications required for your services
- Maintain legally required insurance and bonding
- Use appropriately qualified employees and subcontractors
- Comply with employment, tax, safety, consumer-protection, advertising, and trade laws
- Provide services only within your qualifications and lawful authority
- Maintain accurate business and contact information
- Will notify Badgr.Pro promptly of material changes
You must notify Badgr.Pro immediately if:
- A license, permit, certification, bond, or insurance policy expires, is suspended, or is revoked
- A government agency investigates or disciplines the business
- The business changes ownership
- The business becomes insolvent or ceases operations
- A serious consumer complaint, injury, safety issue, or legal claim arises
- Information displayed on the provider profile becomes inaccurate
- The provider can no longer serve the assigned territory
Badgr.Pro may request documentation at any time.
Failure to provide requested documentation may result in suspension, removal, or replacement.
13. Provider Information Must Be Accurate
You are responsible for ensuring that all information supplied to Badgr.Pro is truthful, accurate, complete, and current.
This includes:
- Legal and trade names
- Ownership information
- Addresses
- Telephone numbers
- Email addresses
- Website addresses
- Service descriptions
- Service areas
- Hours
- Licensing
- Certifications
- Insurance
- Warranties
- Pricing statements
- Photographs
- Reviews
- Awards
- Experience claims
- Other representations
You may not submit false, misleading, exaggerated, deceptive, infringing, or outdated information.
Badgr.Pro may edit content for clarity, style, length, accuracy, formatting, legal compliance, search visibility, and consistency with the platform.
You must promptly notify Badgr.Pro of errors or changes.
14. Customer Service Standards
Providers are expected to:
- Respond to consumers within a reasonable time
- Communicate honestly and professionally
- Provide clear estimates and agreements
- Comply with applicable cancellation and refund laws
- Arrive as scheduled or communicate delays
- Perform services competently and safely
- Protect customer property
- Address legitimate customer concerns
- Honor written warranties and guarantees
- Maintain appropriate records
- Avoid deceptive, coercive, discriminatory, or abusive conduct
Badgr.Pro does not control the provider’s work, but continued placement depends on conduct consistent with the reputation and consumer purpose of the platform.
15. Consumer Complaints
Badgr.Pro may receive, review, investigate, document, or refer consumer complaints.
You agree to:
- Cooperate with reasonable inquiries
- Respond within the period requested
- Provide relevant contracts, communications, photos, invoices, or other records
- Take reasonable steps to address legitimate concerns
- Avoid retaliation against consumers
- Preserve relevant evidence and communications
Badgr.Pro is not required to decide which party is legally correct or mediate a dispute.
Badgr.Pro may suspend, remove, or replace a provider while a complaint is being reviewed if Badgr.Pro believes continued placement may create risk to consumers or the platform.
A complaint need not result in a final judgment before Badgr.Pro takes protective platform action.
16. Reviews and Reputation
Providers may not:
- Submit fake reviews
- Purchase fabricated reviews
- Write reviews using false identities
- Require only satisfied customers to submit reviews
- Condition incentives on positive sentiment
- Suppress lawful negative reviews through threats or improper pressure
- Ask employees, owners, family members, or affiliates to post reviews without appropriate disclosure
- Manipulate ratings or review-platform systems
- Misrepresent the source or authenticity of a testimonial
Badgr.Pro may display reviews or ratings from third-party platforms. Those platforms control their own review policies, moderation, calculations, and availability.
Badgr.Pro does not guarantee the removal of a negative review or control content hosted by third parties.
17. Provider Content License
You retain ownership of business names, logos, photographs, videos, service descriptions, testimonials, documents, and other content you legally own.
You grant Mad Badger Marketing Incorporated a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to:
- Host
- Store
- Copy
- Edit
- Adapt
- Format
- Publish
- Display
- Distribute
- Promote
- Advertise
- Create derivative marketing materials from
- Otherwise use provider content
This license permits use in connection with:
- Badgr.Pro
- Provider profiles
- Search engines
- Social media
- Advertising
- Promotional materials
- Case studies
- Platform demonstrations
- Sales materials
- Related marketing services
You represent that you have all rights and permissions necessary to grant this license.
After termination, Badgr.Pro may retain provider content in internal records, backups, legal files, portfolio materials, historical reports, and previously published materials where continued use is lawful. Active promotional use after termination will be governed by applicable agreements and law.
18. Badgr.Pro Content and Profile Ownership
Badgr.Pro and Mad Badger Marketing Incorporated own the platform and original materials created for it, including:
- Website architecture
- Provider-profile layouts
- Written platform copy
- Service taxonomies
- Location structures
- Search and routing systems
- Maps and map-pin designs
- Logos
- Mascots
- Graphics
- Software
- Databases
- Tracking systems
- Page designs
- Marketing systems
- Original photographs or media created by Badgr.Pro
- Other proprietary materials
Unless a written agreement expressly states otherwise, payment for provider participation does not transfer ownership of a Badgr.Pro page, URL, profile, layout, routing record, tracking number, domain, keyword position, or platform asset.
A provider may not copy, reproduce, scrape, republish, sell, transfer, or use these materials to create or support a competing platform.
19. Profile URLs and Search Visibility
Badgr.Pro controls all URLs, page structures, redirects, canonical settings, metadata, internal links, schema, navigation, and search-routing decisions on Badgr.Pro.
The provider does not own or control:
- A Badgr.Pro URL
- A service-and-location page
- Search-engine rankings
- Indexed content
- Search snippets
- Map visibility
- Backlinks
- Traffic history
- Platform authority
Badgr.Pro may modify, redirect, deactivate, repurpose, or remove a URL when provider participation changes or ends.
Search engines independently control crawling, indexing, ranking, and result displays. Badgr.Pro cannot guarantee when or whether a page will be indexed, ranked, changed, or removed.
20. Telephone Numbers, Messages, and Tracking
Badgr.Pro may use tracking telephone numbers, call measurement, message links, analytics, or related technologies.
Unless a written agreement states otherwise:
- Tracking numbers are controlled by Badgr.Pro or its service providers
- The provider does not own the tracking number
- Numbers may be changed, disabled, or reassigned
- Routing may stop immediately upon suspension or termination
- Historical call data may be retained for analytics, reporting, security, and legal purposes
- Badgr.Pro does not guarantee a minimum number of calls or messages
If a provider records calls or messages, the provider is responsible for complying with all applicable consent, recording, disclosure, telemarketing, privacy, and communications laws.
21. Consumer Information
Providers must use consumer information only for lawful purposes connected to the consumer’s inquiry or service relationship.
Providers may not:
- Sell consumer information
- Distribute it to unrelated companies
- Add consumers to marketing lists without legally required consent
- Send unlawful automated calls or text messages
- Use information for harassment or discrimination
- Retain information longer than reasonably necessary
- Process information in violation of applicable privacy laws
The provider is independently responsible for its privacy policy, security practices, consent procedures, records, communications, and legal compliance.
22. Payments
Fees, billing dates, renewal terms, payment methods, taxes, cancellation requirements, and refunds are governed by the provider’s applicable proposal, order form, service agreement, payment authorization, and Mad Badger Marketing Incorporated’s general terms.
Unless expressly stated otherwise in writing:
- Fees are charged in advance
- Payments are nonrefundable once the applicable service period begins
- Provider participation depends on successful payment
- Recurring fees may be charged using the authorized payment method
- The provider must maintain current billing information
- Failed payments may result in immediate suspension or replacement
- Cancellation does not erase amounts already due
- Removal for provider breach does not create a refund right
The provider is responsible for applicable taxes other than taxes imposed on Mad Badger Marketing Incorporated’s net income.
23. No Guarantee of Leads or Results
Badgr.Pro does not guarantee:
- Calls
- Text messages
- Emails
- Website visits
- Leads
- Customers
- Projects
- Sales
- Revenue
- Profit
- Conversion rates
- Search rankings
- Advertising performance
- Territory demand
- Consumer response
- Return on investment
Provider results depend on many factors outside Badgr.Pro’s control, including market demand, competition, seasonality, pricing, reputation, responsiveness, capacity, location, consumer preferences, economic conditions, and the provider’s own performance.
Past results, examples, forecasts, projections, or case studies do not guarantee future results.
Fees are paid for the services and platform participation described in the applicable agreement, not for a guaranteed quantity of customers or revenue.
24. No Franchise, Partnership, or Agency
Participation does not create a:
- Franchise
- Partnership
- Joint venture
- Employment relationship
- Agency relationship
- Fiduciary relationship
- Legal representation
- Ownership interest
The provider operates independently and controls its own business, employees, subcontractors, pricing, methods, contracts, and customer relationships.
The provider has no authority to bind Badgr.Pro or Mad Badger Marketing Incorporated.
The provider may not represent itself as owned, operated, licensed, guaranteed, or employed by Badgr.Pro.
25. Branding and Representations
An active provider may describe itself as a selected Badgr.Pro provider only while authorized and in good standing.
The provider may not:
- Claim permanent exclusivity
- Claim ownership of a territory
- State that Badgr.Pro guarantees its services
- Alter Badgr.Pro logos or map pins
- Use Badgr.Pro branding without permission
- Register confusingly similar names, domains, usernames, or marks
- Imply authority beyond the approved service and territory
- Continue using provider-status claims after suspension or termination
Upon request or termination, the provider must stop using Badgr.Pro branding and remove provider-status representations from websites, social media, advertising, vehicles, documents, and other materials under its control.
26. Confidential Information
During the relationship, a provider may receive nonpublic information concerning:
- Pricing
- Platform systems
- Territory planning
- Business strategy
- Provider selection
- Technology
- Customers
- Analytics
- Marketing methods
- Internal processes
- Future services
- Other confidential matters
The provider must protect confidential information and use it only for the authorized relationship.
Confidential information does not include information that:
- Becomes public without breach
- Was lawfully known without a confidentiality obligation
- Is received lawfully from another source
- Is independently developed without use of confidential information
- Must be disclosed by law
If disclosure is legally required, the provider must give prompt notice where permitted.
27. Compliance With Laws
The provider is solely responsible for complying with all laws applicable to its business and services, including laws concerning:
- Licensing
- Insurance
- Bonding
- Permits
- Safety
- Employment
- Subcontractors
- Taxes
- Advertising
- Consumer protection
- Privacy
- Data security
- Telephone and text communications
- Call recording
- Accessibility
- Environmental requirements
- Professional services
- Contracts
- Warranties
- Refunds
Badgr.Pro does not provide legal, tax, licensing, or regulatory advice.
28. Audits and Verification
Badgr.Pro may request reasonable documentation to verify continued compliance.
Requested information may include:
- Licenses
- Insurance certificates
- Bonds
- Permits
- Ownership records
- Business registration
- Customer agreements
- Complaint responses
- Warranty information
- Service-area documentation
- Payment records
- Other relevant evidence
Failure to cooperate may result in suspension, removal, or replacement.
Verification by Badgr.Pro does not transfer responsibility for compliance from the provider.
29. Prohibited Conduct
Providers may not:
- Submit false or misleading information
- Misrepresent qualifications or availability
- Impersonate another business
- Manipulate searches, routing, reviews, or analytics
- Interfere with Badgr.Pro systems
- Scrape or copy platform content without permission
- Use malicious software
- Circumvent access or payment controls
- Harass consumers or Badgr.Pro personnel
- Engage in unlawful discrimination
- Use deceptive sales practices
- Misuse consumer information
- Infringe intellectual-property rights
- Damage the reputation or operation of Badgr.Pro
- Use Badgr.Pro to promote unlawful services
- Transfer, rent, sublicense, or resell provider placement
30. Third-Party Services
Badgr.Pro may rely on third parties for:
- Hosting
- Analytics
- Advertising
- Payment processing
- Telephone tracking
- Text messaging
- Maps
- Reviews
- Search engines
- Social media
- Software
- Other services
Badgr.Pro does not control and is not responsible for the continued availability, policies, errors, decisions, or performance of independent third-party services.
Changes made by a third party may affect provider profiles, rankings, routing, reviews, analytics, communications, or platform functionality.
31. Disclaimer of Warranties
To the fullest extent permitted by law, Badgr.Pro and all platform services, profiles, tools, routing systems, marketing features, content, and technology are provided on an “as is” and “as available” basis.
Mad Badger Marketing Incorporated disclaims all express and implied warranties, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Title
- Noninfringement
- Accuracy
- Availability
- Search visibility
- Consumer demand
- Marketing performance
- Revenue
- Profitability
- Continued placement
- Territory value
- Exclusivity beyond express written terms
Nothing in these Provider Terms excludes a warranty or right that cannot lawfully be excluded.
32. Limitation of Liability
To the fullest extent permitted by law, Mad Badger Marketing Incorporated and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from:
- Provider participation
- Suspension, removal, or replacement
- Loss of territory or exclusivity
- Lost calls, customers, sales, revenue, profit, data, goodwill, or business opportunities
- Search-engine changes
- Advertising performance
- Website interruptions
- Third-party services
- Consumer conduct
- Provider disputes
- Unauthorized access or security incidents
- Reliance on projections, case studies, or estimates
To the fullest extent permitted by law, the total aggregate liability of Mad Badger Marketing Incorporated arising from provider participation will not exceed the amount the provider paid directly to Mad Badger Marketing Incorporated for the affected Badgr.Pro services during the three months immediately preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.
33. Indemnification
To the fullest extent permitted by law, the provider will defend, indemnify, and hold harmless Mad Badger Marketing Incorporated and its directors, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:
- Services performed or offered by the provider
- Acts or omissions of the provider, its employees, or subcontractors
- Personal injury, death, or property damage
- Consumer disputes
- Licensing, insurance, bonding, or permitting failures
- Provider advertising or representations
- Privacy or communications-law violations
- Content supplied by the provider
- Infringement of third-party rights
- Employment or subcontractor claims
- Taxes
- Fraud, misconduct, or unlawful conduct
- Breach of these Provider Terms
- Breach of another applicable agreement
Badgr.Pro may assume control of the defense of a claim at the provider’s expense when reasonably necessary to protect its interests.
34. Governing Law and Venue
These Provider Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any legal proceeding concerning these Provider Terms or provider participation must be brought in a state or federal court with jurisdiction in the Texas county where Mad Badger Marketing Incorporated maintains its principal place of business.
The provider consents to the personal jurisdiction and venue of those courts.
35. Changes to These Provider Terms
Badgr.Pro may update these Provider Terms to reflect changes in the platform, provider program, technology, business practices, or legal requirements.
The effective date at the top identifies the latest version.
Where required by an applicable agreement or law, material changes will receive additional notice.
Continued participation after revised Provider Terms become effective constitutes acceptance of the revised Terms.
36. Severability
If any provision is determined to be unlawful, invalid, or unenforceable, it will be enforced to the greatest extent permitted or modified to reflect its intended purpose.
The remaining provisions will continue in effect.
37. No Waiver
Failure to enforce a provision does not waive the right to enforce it later.
A waiver is effective only if it is in writing and authorized by Mad Badger Marketing Incorporated.
38. Assignment
The provider may not assign, transfer, sublicense, sell, or delegate its rights or obligations without written consent.
Mad Badger Marketing Incorporated may assign these Provider Terms as part of a merger, acquisition, financing, restructuring, sale of assets, or transfer of Badgr.Pro.
39. Survival
Provisions concerning payment, intellectual property, provider content, confidentiality, consumer information, disclaimers, limitations of liability, indemnification, governing law, and other provisions intended by their nature to survive will remain effective after suspension, removal, cancellation, or termination.
40. Entire Agreement
These Provider Terms, together with applicable proposals, order forms, service agreements, payment authorizations, and incorporated general terms, constitute the agreement governing provider participation.
No verbal statement, sales representation, email, projection, or informal communication modifies these Provider Terms unless included in a written agreement authorized by Mad Badger Marketing Incorporated.
41. Contact Information
